Terms of Use
The conditions that apply when you access TaxGraph's public website, content and digital resources.
1. About these Terms
These Terms of Use set out the conditions that apply when you access or use TaxGraph LLP’s public websites and digital resources that link to these Terms.
References to “TaxGraph”, “we”, “us” or “our” mean TaxGraph LLP.
These Terms apply to the use of the website and its publicly available content. They do not replace any proposal, engagement letter, scope of work, commercial terms or other agreement entered into between TaxGraph and a client.
Where a separate written agreement applies to a professional engagement, that agreement will govern the engagement and will prevail to the extent of any inconsistency relating to that engagement.
2. About TaxGraph’s website
The website provides information about TaxGraph, its services, areas of work, insights, resources and ways to contact us.
It may also provide access to tools or resources such as the Business Accounting Health Check, downloadable templates, articles, guides, regulatory updates or other business information.
The website is intended to help visitors understand TaxGraph and decide whether they would like to discuss a requirement with us.
It is not intended to replace advice based on the facts and circumstances of a particular business, transaction, filing, decision or engagement.
3. No client relationship from website use
Accessing the website, reading its content, downloading a general resource, completing the Business Accounting Health Check, sending an enquiry or scheduling an introductory meeting does not by itself create a client relationship or professional engagement with TaxGraph.
An engagement begins only when TaxGraph and the relevant client have agreed the scope and terms of the work in an appropriate manner.
TaxGraph is not obliged to accept an engagement merely because an enquiry has been submitted or a conversation has taken place.
4. Website information
We aim to present website information clearly and responsibly.
However, accounting, taxation, corporate, regulatory, financial and business matters depend on the relevant facts and can be affected by changes in law, rules, notifications, circulars, interpretations, procedures and government systems.
Website material may therefore not reflect every development or circumstance relevant to a particular matter.
Before acting on information that could materially affect your business, tax position, compliance obligations, finances or legal rights, you should consider whether advice based on your particular circumstances is required.
Please also read the separate Disclaimer.
5. Permitted use
You may use the TaxGraph website for legitimate personal, professional and business purposes, including reviewing information about TaxGraph, considering our services, contacting us and using resources made available for their intended purpose.
Where a downloadable resource is provided for business use, you may use it internally for the purpose for which it is supplied unless different terms are stated with that resource.
6. Unacceptable use
You must not knowingly use the website in a manner that:
- is unlawful or fraudulent;
- interferes with the operation or security of the website;
- attempts to obtain unauthorised access to systems, accounts or information;
- introduces malicious code or harmful material;
- misrepresents affiliation with TaxGraph;
- uses TaxGraph’s name, identity or content in a misleading manner;
- infringes intellectual-property or other legal rights; or
- uses website forms to transmit spam, malicious material or information that you have no proper basis to provide.
Nothing in this section prevents ordinary search-engine indexing, legitimate linking, accessibility technology or other normal use of the public website.
7. Intellectual property
Unless otherwise stated, the TaxGraph website, its original text, layouts, graphics, branding, downloadable resources and other original material are owned by, licensed to, or used with appropriate rights by TaxGraph LLP.
TaxGraph’s name, branding and original website materials may not be presented as belonging to, endorsing or originating from another person or organisation without appropriate permission.
You may quote or refer to limited portions of publicly available material for legitimate informational purposes where the source is appropriately identified.
You may not reproduce, republish, sell, commercially redistribute or create a misleading derivative of substantial TaxGraph website content or resources without permission, except where the relevant resource expressly allows it.
Nothing on the website transfers ownership of TaxGraph’s intellectual property to the user.
8. Downloadable resources and tools
TaxGraph may make spreadsheets, checklists, templates, guides, diagnostic tools or other resources available through the website.
These resources are intended to assist with business processes or understanding. They may require adaptation to the facts, systems, policies and legal requirements applicable to a particular organisation.
Unless expressly stated otherwise, the availability of a resource does not mean that TaxGraph has reviewed the user’s business, records or compliance position.
Resources should not be treated as a substitute for professional review where the matter requires one.
Different or additional terms may be stated for a particular resource.
9. Information submitted to TaxGraph
If you submit an enquiry or other information through the website, you are responsible for providing information that is reasonably accurate to the best of your knowledge and that you are entitled to provide for the relevant purpose.
Please do not send passwords, OTPs, tax-portal credentials, authentication codes or similar access information through general website forms.
Personal information submitted through the website is handled in accordance with the TaxGraph Privacy Policy.
10. Third-party services and links
The website may link to independent third-party websites or services, including communication, meeting, social, mapping or other platforms.
A link is provided for convenience or functionality and does not, by itself, mean that TaxGraph controls, guarantees or endorses everything available through that third party.
When you use an independent third-party service, its own terms, privacy practices and availability may apply.
TaxGraph is not responsible for operating or maintaining an independent third-party platform.
11. Website availability and changes
We may update, reorganise, add to, remove or temporarily suspend parts of the website where reasonably required.
We do not promise that every page, feature, resource or external link will remain available without interruption.
We may correct errors or update website material when identified.
Historical material may remain available for reference even where later developments have changed the position described in that material. Where dates are relevant, users should take them into account.
12. Limitation relating to website use
Nothing in these Terms excludes or restricts a right, remedy or liability that cannot lawfully be excluded or restricted.
To the extent permitted by applicable law, TaxGraph will not ordinarily be responsible for indirect or consequential loss arising solely from the use of, inability to use, or reliance on general public website content where no professional engagement exists.
Any responsibility arising from a professional engagement is governed separately by the terms applicable to that engagement.
Users remain responsible for decisions they make based solely on general website information without obtaining further advice where their circumstances reasonably require it.
13. Changes to these Terms
We may update these Terms to reflect changes in the website, our services or applicable legal requirements.
The current version will be published on this page together with the date on which it was last updated.
Material changes will apply prospectively from the date the updated Terms are published, except where another approach is required by law or agreed in writing.
14. Governing law and jurisdiction
These Terms are governed by the laws of India.
Subject to applicable law and the jurisdiction of any forum that cannot lawfully be excluded, courts at Delhi, India shall have jurisdiction in relation to disputes concerning these Terms where those courts are legally competent to hear the matter.
Nothing in this section prevents a person from using a statutory forum or remedy that cannot lawfully be restricted by these Terms.
